Intellectual Property, Content Usage & Confidentiality Policy

This Intellectual Property, Content Usage and Confidentiality Policy (“Policy”) addresses title, ownership, licensing, watermarking, infringement reporting, and confidentiality expectations in relation to the Intellectual Property that is relevant to the Company’s Platform and User interactions. 

This Policy governs Intellectual Property subsisting in or relating to content made available on or through the Platform, including photographs, audition tapes, scripts, screenplays, treatments, concepts, pitch decks, music, sound recordings, videos, artwork, stills, logos, production documents, project descriptions, event materials, and other creative, literary, dramatic, musical, artistic, performer, design, database, or other proprietary materials.

The Platform prohibits false association, impersonation, unauthorised commercial use of another person’s identity, and non-consensual publication of personal imagery or recordings. 

  1. Definitions

 

  1. “Applicable Law” means all Indian statutes, laws, rules, regulations, notifications, circulars, governmental guidelines, judicial decisions, regulatory directions, industry codes, and other binding legal requirements applicable to the Company, the Platform, the Services, the relevant User, or the subject matter concerned, as amended from time to time. 


  1. Company” means Ithi Private Limited, and includes its successors, permitted assigns, affiliates, and authorised representatives, as the context may require; 


  1. Confidential Information” means any non-public, confidential, commercially sensitive, proprietary, unpublished, embargoed, or restricted information or material made available on or through the Platform, including scripts, concepts, pitch materials, look books, development notes, budgets, project materials, private communications, and any other information that is designated as confidential or that ought reasonably to be understood to be confidential in the circumstances; 


  1. Intellectual Property” or “IP” means all Intellectual Property and proprietary rights of every kind, whether registered or unregistered, including copyright and related rights, trademarks, service marks, trade names, logos, domain names, designs, patents, inventions, trade secrets, database rights, moral rights, performer’s rights, know-how, Confidential Information, and all analogous rights recognised under Applicable Law;


  1. Platform” means the digital platform, website, application, interface, tools, functionalities, databases, and related services operated, owned, or made available by the Company for networking, coordination, opportunity discovery, project creation, professional engagement, event discovery, listing, communication, content hosting, and related interactions in the media and production ecosystem; 


  1. User” means any person or entity who accesses, browses, registers on, uses, interacts with, lists on, uploads content to, purchases services through, or otherwise uses the Platform in any capacity, including visitors, registrants, businesses, event organizers, service providers, talent resources, technical crew, support staff, agents, managers, and other creative professionals or entities;


  1. User Portfolio Materials” means all profiles, showreels, photographs, scripts, pitch materials, project postings, comments, event details, self-tapes, recordings, portfolio content, and any other materials uploaded, posted, submitted, transmitted, stored, displayed, or otherwise made available by a User on or through the Platform. 


  1. Platform IP


  1. All IP rights in and to the Platform, including software, layout, branding, logos, text, graphics, design elements, proprietary workflows, databases, and Company-created materials, are owned by or licensed to the Company and are protected under Applicable Law. 


  1. No User acquires any ownership rights in the Platform or Company IP, except for a limited, revocable right to access and use the Platform in accordance with its terms and policies.


  1. User’s IP 


  1. Users retain ownership of their User Portfolio Materials and underlying Intellectual Property, subject to rights validly granted to other parties and the licence granted to the Company.


  1. Users may upload only content they own or are duly authorised to use. Users must have obtained all necessary permissions for any third-party materials, identities, images, performances, scripts, recordings, music, or other embedded rights.


  1. The User represents, warrants and undertakes that:




  1. it has all necessary rights, licences, consents, waivers and permissions;

  2. such content does not infringe any third-party rights;

  3. such content is not misleading, unlawful or subject to undisclosed restrictions; and

  4. all moral rights, performer rights and similar rights (to the extent permissible under Applicable Law) have been validly waived or consented to for Platform use.


  1. For the avoidance of doubt, the User represents that it has secured all permissions, licences, clearances, waivers, performer consents, assignment rights, moral rights consents to the extent legally permissible, publishing permissions, trademark permissions, location permissions and other authorisations reasonably necessary for the lawful hosting, display, processing, watermarking and limited platform use of such materials.


  1. License to the Company 


  1. By using the Platform, the User grants the Company a limited, non-exclusive, worldwide, revocable, royalty-free licence to host, store, reproduce, display, watermark, transfer and otherwise process User Portfolio Materials solely for purposes of operating and improving the Platform and enforcing its rights and policies.


  1. Such licence shall not be construed as a transfer, assignment or exclusive licence of the User’s underlying Intellectual Property and shall extend only to those acts reasonably required for storage, formatting, display, transfer, moderation, security review, platform promotion, internal administration, backup, evidentiary retention, and enforcement of the Company’s terms, rights and policies.


  1. The Company may sub-license such rights strictly to its affiliates, service providers, cloud/storage vendors and technology partners solely to the extent necessary to operate the Platform.


  1. The Company shall not use User Portfolio Materials to train artificial intelligence models for external commercialisation without explicit User consent, unless otherwise permitted under Applicable Law or anonymised in a manner that does not identify the User or their content.


  1. Restrictions 


  1. Except as expressly permitted by the Company and the relevant rights-holder, no User or third party may copy, download, reproduce, adapt, publish, transfer, exploit, distribute, publicly communicate, edit, train artificial intelligence systems on, create derivative works from, or otherwise use any content made available through the Platform beyond the limited functionality expressly enabled by the Platform.


  1. Users shall not scrape, crawl, extract or systematically download content or data from the Platform, whether manually or through automated means.


  1. Users shall not reverse engineer, decompile or attempt to derive source code or underlying structure of the Platform.


  1. Watermarking and Protection 


  1. The Platform may offer watermarking or content-protection functionality to help discourage unauthorised copying and misuse. The Policy should explain the nature, purpose and limitations of such functionality. 


  1. However, the Company does not guarantee or warrant that copying, piracy, recording, screenshotting, redistribution, or infringement shall be prevented in all cases of the Platform’s usage, even where watermarking or protective tools are applied and thus, the Company shall not be liable for any such actions occurring beyond its control. 


  1. Users acknowledge that they are solely responsible for determining the extent of disclosure of their content and are encouraged to exercise discretion when sharing sensitive or high-value materials.


  1. Confidentiality 


  1. Certain materials made available on or through the Platform may also be confidential, commercially sensitive, unpublished, or embargoed, including scripts, concepts, pitch materials, look books, development notes, budgets, and any other creative assets. Users who access such materials shall not copy, forward, share, disclose, exploit, or use them except for the specific professional purpose for which access was granted and subject to any additional confidentiality restrictions communicated by the relevant User or the Company. 


  1. Users accessing Confidential Information shall (a) use such information solely for the specific purpose for which access was granted; (b) not copy, record, download, reproduce or disclose such information except as expressly permitted; and (c) implement reasonable safeguards to prevent unauthorised access or disclosure.


  1. After the finalization of an engagement or shortlisting for a role, Users shall be required to execute a non-disclosure and confidentiality agreement. 


  1. The Company shall not be a party to any such non-disclosure agreement, confidentiality agreement, or independent arrangement executed between Users. The Company therefore disclaims any liability arising from the validity, enforceability, or breach of any such agreements. 


  1. Confidentiality obligations shall survive termination of use of the Platform and continue for so long as the information remains confidential.


  1. Any unauthorised use or disclosure of Confidential Information may result in immediate suspension or termination of access, without prejudice to other legal remedies available to the affected party.


  1. Takedown, Infringement and Enforcement


  1. The Company may remove, restrict, or disable access to any content upon receiving a complaint or becoming aware of potential infringement or violation of this Policy.


  1. A rights-holder may submit a complaint containing identification of the work; details of alleged infringement; proof of ownership or authority; and contact details.


  1. The affected User may submit a counter-notice with supporting justification.


  1. The Company reserves the right to suspend or permanently terminate accounts of repeat infringers.


  1. Indemnity 



  1. The User shall indemnify, defend and hold harmless the Company, its affiliates, officers and employees from and against any claims, losses, damages, liabilities, or expenses arising out of (a) infringement of Intellectual Property rights; (b) breach of confidentiality; (c) unlawful or unauthorised content; or (d) breach of this Policy.


  1. Company Rights



  1. The Company reserves the right to preserve logs, metadata, copies, and relevant records relating to allegedly infringing or disputed material for legal compliance, investigation, evidentiary, platform security, or rights-enforcement purposes. 



  1. The Company also reserves the right to amend this Policy, from time to time, to align with its business practices and Applicable Law.



  1. The Company may cooperate with law enforcement or regulatory authorities where required under Applicable Law.


  1. Grievance Redressal



  1. Users may contact the Company for queries, complaints, or rights requests through the grievance/contact mechanism made available on the Platform. All grievances by you should be addressed in writing to us at grievance officer, whose details are provided below.

  1. The Company shall endeavor to acknowledge or respond to complaints and queries within a reasonable period, in accordance with Applicable Law and internal grievance procedures.


  1. Amendments 



  1. The Company may amend this Policy from time to time to reflect changes in Applicable Law, business operations, services, or processing practices. Updated versions shall be published on the Platform. 



  1. Where required or appropriate, the Company may also notify Users of material changes through the Platform, by email, or through other service-related communications. Continued use of the Platform after such updates shall be subject to the revised Policy, to the extent permitted under Applicable Law.
