Terms of Service
These Terms of Use (“Terms”) govern access to and use of the Platform by visitors and Users. The
Terms are the principal contract governing the Platform’s access and use. The Terms also set out the
terms and conditions for availing the services offered by the Platform and your participation as a User
using our services.
Definitions
1.1 “Applicable Law” means all privacy and data protection laws applicable to the Company and
the Platform in India, as amended from time to time, including but not limited to the Digital
Personal Data Protection Act, 2023 and the rules made thereunder, Information Technology
Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and
Sensitive Personal Data or Information) Rules, 2011, as applicable from time to time;
1.2 “Company” means Ithi Private Limited, and includes its successors, permitted assigns,
affiliates, and authorised representatives, as the context may require;
1.3 “Platform” means the digital platform, website, application, interface, tools, functionalities,
databases, and related services operated, owned, or made available by the Company for
networking, coordination, opportunity discovery, project creation, professional engagement,
event discovery, listing, communication, content hosting and related interactions in the media
and production ecosystem;
1.4 “Users” means any person or entity who accesses, browses, registers on, uses, interacts with,
lists on, uploads content to, purchases services through, or otherwise uses the Platform in any
capacity, including visitors, registrants, businesses, event organisers, service providers, talent
resources, technical crew, support staff, agents, managers and other creative professionals or
entities and for the purposes of this policy, may also include any visitors of the Platform;
1.5 “User Portfolio Materials” means all profiles, showreels, photographs, scripts, pitch materials,
project postings, comments, event details, self-tapes, recordings, portfolio content, and any
other materials uploaded, posted, submitted, transmitted, stored, displayed or otherwise made
available by a User on or through the Platform.
Additionally and for the purposes of these Terms, ‘You’ or ‘you’ shall refer to any natural or legal
person who has agreed to become an access or use the Platform as a User, including any individual
who views, accesses, enquires about, purchases, registers for any products or services, avails services
or otherwise uses the Platform in any manner.Acceptance of Terms
2.1 By accessing, browsing, registering on, subscribing to or otherwise using the Platform, the User
agrees to be bound by these Terms and all policies of the Company incorporated by reference.
If the User does not agree, the User must not access or use the Platform.
2.2 You hereby expressly confirms that you have read, understood and agree to comply with and be
bound by the Terms.

Scope of Platform
3.1 The Platform is a subscription-based digital platform intended to support networking,
coordination, project creation, talent discovery, recruitment, shortlisting, opportunity display
and event/workshop discovery within the film and creative production ecosystem.Eligible Users
4.1 The Terms are intended to apply broadly to Users. Users must be legally competent to contract
under Applicable Law. If registration of minors is permitted, accounts of users under 18 years
must be created and managed only by a parent or legal guardian with verifiable consent.
4.2 The onboarding of Users shall be governed by the Company’s User Onboarding Policy, which
shall be made available by the Company.Account Creation, Usage and Security
5.1 Users may be required to create an account on the Platform to access the services. Users agree
to provide true, current, complete and accurate information and to update such information
when necessary. Users are responsible for maintaining confidentiality of login credentials and
for all activity occurring under their account unless they promptly notify the Company of
unauthorised use.
5.2 The Company reserves the right to require identity verification, business authorisation
evidence, age confirmation, parental consent or supporting documentation at any time, in
accordance with its User Onboarding Policy.
5.3 Users shall promptly notify the Company if they discover or otherwise suspect any
unauthorised access to, misuse of or security breach relating to their account or the Platform.
5.4 The Company reserves the right to suspend, restrict, or terminate any account and/or refuse
current or future access to the Platform, if any information provided by the User is found to be
false, inaccurate, outdated, misleading, incomplete or unverifiable.
5.5 Upon suspension, deactivation or termination of a User account, the User may lose access to all
or part of the Platform and associated content, including messages, listings, portfolio materials,
repository access and project-related records.
5.6 The Company may retain, remove, anonymise, disable access to or delete data and content in
accordance with Applicable Law, internal retention practices, legal requirements, dispute
preservation needs and Company policies. The Company does not guarantee that deleted or
removed content will be recoverable and shall not be responsible for any inability to access,
restore or retrieve such content, subject to Applicable Law.Subscription and Paid Services

6.1 Access to the Platform shall be subject to subscription fees, project-creation fees and other
service charges.
6.2 Applicable pricing, billing cycles, taxes, payment methods and auto-renewal mechanics, if any,
shall be described in the Payment Terms of the Company, as circulated from time to time or on
the Platform interface.
7. User Responsibilities
7.1 You agree and acknowledge that any and all activity undertaken by you in relation to the
Platform shall be your sole responsibility and the Company shall not be responsible or liable for
the same in any manner towards you or any other third-party.
7.2 Users shall:
a. use the Platform lawfully and professionally;
b. create only 1 (one) account using your credentials unless approved expressly in writing
by the Company;
c. comply with all the Company’s policies and community guidelines, as communicated to
the User and amended from time to time;
d. provide accurate information and maintain accurate profile details;
e. upload only content You own or are duly authorised to use;
f. comply with all Applicable Laws, union rules, immigration/visa requirements, and
industry standards relevant to their activities; and
g. maintain the security of your account by not sharing your password with others and
restricting access to your account.
7.3 Stakeholders Responsibilities:
7.3.1 Talent Users (including actors, performers, creators) shall:
a. ensure that all User Portfolio Materials are original or duly authorised;
b. not submit misleading portfolios, edited credentials or false representations;
c. independently verify the legitimacy of any opportunity, audition or engagement
before participation;
d. not pay or agree to pay any unlawful or exploitative fees for roles unless
voluntarily agreed with full knowledge.
7.3.2 Producers, Recruiters and Businesses shall:
a. ensure that all listings, auditions, and opportunities are genuine, lawful and not
misleading;
b. clearly disclose role details, compensation structure (where applicable) and project
nature;
c. not engage in exploitative practices, including unpaid work disguised as auditions
unless transparently disclosed;
d. comply with all applicable labour, casting, and industry regulations.

7.3.3 Event Organisers shall:
a. be solely responsible for the planning, safety, execution, and compliance of events;
b. provide accurate event details including pricing, schedule and deliverables;
c. honour refund, cancellation and rescheduling commitments;
d. ensure that events comply with applicable safety, licensing and local regulations.
7.3.4 Technical Crew and Service Providers shall:
a. ensure accuracy of skills, experience, and credentials listed;
b. honour commitments made through the Platform;
c. independently negotiate terms of engagement with other Users.
Prohibited Conduct
8.1. Users shall not:
a. upload unlawful, infringing, misleading, abusive, non-consensual, or otherwise
prohibited content;
b. breach these Terms, Applicable Laws, or any other policy that is circulated by the
Company from time to time;
c. harass, bully, threaten, discriminate against, or intimidate other Users;
d. impersonate any person or falsely claim affiliation, credentials, or authority;
e. post deceptive opportunities, exploitative listings, deceptive auditions, or unlawful
recruitment content;
f. share personal information of other Users without consent;
g. copy, download, reverse engineer, reproduce, or use Platform content or User Portfolio
Materials for the purpose of developing, training, fine-tuning, or improving AI models or
similar technologies without prior written authorisation of the Company and the relevant
rights holder;
h. interfere with Platform security, integrity, or availability;
i. misuse the Platform for spam, unauthorised solicitation, or other conduct undermining
trust or safety.
8.2. The Platform strictly prohibits fraudulent casting calls, pay-to-work schemes, deceptive
auditions or any activity intended to exploit Users.
8.3. Users shall not request upfront payments, deposits or fees from other Users for the purpose of
securing roles, auditions or opportunities unless such payment is clearly disclosed, lawful and
voluntarily agreed.
8.4. The Company shall not be responsible for any financial loss, fraud or deception arising from
User interactions. Users are advised to exercise independent due diligence.
9. User Content and Interactions
9.1 Users remain responsible for their content and interactions.

9.2 The Company may provide hosting, watermarking assistance, repository functions, and
moderation mechanisms, but does not become the owner of User works except to the extent of
a limited operational licence granted under the applicable intellectual property policy of the
Company.
9.3 The Company is not liable for user misconduct, failed hiring outcomes, event organiser
defaults, content misuse by third parties, indirect damages, business loss, reputational harm,
data loss beyond defined circumstances, or unauthorised conduct arising from factors outside
the Company’s control.
9.4 The User acknowledges that the Company does not independently verify, endorse, certify,
employ, recommend, or guarantee the identity, credentials, experience, availability, suitability,
legality, quality, safety, reliability, or performance of any User, project, listing, audition,
recruitment post, opportunity, event, workshop, or engagement available through the Platform,
unless expressly stated otherwise in writing. All hiring, engagement, collaboration,
commissioning, participation, and commercial decisions are made solely at the User’s own risk
and discretion. The Company does not conduct background checks, police verification,
financial verification or professional vetting of Users unless expressly stated.
9.5 Use of Audition and Portfolio Content:
9.5.1 Users shall not download, reproduce, distribute, publicly display or otherwise use any
User Portfolio Materials, including audition tapes or scripts, for any purpose other
than evaluation for a legitimate opportunity.
9.5.2 Any use of audition materials for commercial, promotional, training or other purposes
without express written consent of the relevant User is strictly prohibited.
9.5.3 The Company shall not be liable for misuse of User Portfolio Materials by third
parties but may, at its discretion, assist in takedown or reporting mechanisms.
Company’s Rights
10.1 The Company reserves the right to review, moderate, restrict visibility of, remove, disable
access to, or investigate content and activity on the Platform, and to issue warnings, suspend
accounts, or terminate access for violations of these Terms or related policies.
10.2 The Company may also modify, suspend, discontinue, or update any portion of the Platform,
features, subscription plans, or technical integrations at any time, subject to Applicable Law
and contractual commitments.
10.3 In the event a User is found to have violated or threatened to violate any of the Terms, the
Company reserves the right to do any or all of the following:
a. take any action remediating any violation in such a manner that it may deem fit and
necessary including all necessary legal, civil and criminal actions,

b. terminating your registration from using the services and the Platform temporarily and
permanently, and
c. seek indemnification and/or compensation to the extent of loss or damage caused to the
Company.
Third-Party Services and Vendors
11.1 The Platform may integrate or rely upon third-party services, links, payment gateways, identity
verification tools, telecommunication providers, hosting infrastructure, and other vendors. Such
services are subject to the third-party service providers’ terms of use and privacy policies.
11.2 The Company makes no warranties or representations regarding the security, accuracy,
availability, legality, or performance of third-party services and expressly disclaims liability for
acts, omissions, breaches, verification errors, interruptions, or service failures attributable to
such third parties, to the extent permitted by Applicable Law.
11.3 The inclusion of any third-party service, link, redirect, vendor, event, workshop, or listing on
the Platform shall not be construed as an endorsement, recommendation, certification, or
guarantee by the Company. Users are responsible for exercising independent judgment before
relying on or engaging with any third-party offering or external platform.Events and External Redirects
12.1 Where the Platform lists or promotes events and workshops, the Platform acts as an
intermediary or discovery directory.
12.2 The Platform does not provide in-house ticketing or event registration where Users are
redirected to external third-party platforms for enrolment and payment, unless expressly stated
otherwise.No Employment / Agency Relationship
13.1 Unless expressly agreed otherwise, the Platform is not acting as an employer, recruitment
agency, staffing intermediary, contractor of record, event guarantor, or guarantor of
opportunities posted by Users.
13.2 The Company does not become a party to any hiring, engagement, collaboration, agreement,
representation, production, project, audition, workshop enrolment, or other arrangement entered
into between Users or between a User and any third party by reason only of making the
Platform available or facilitating discovery, communication, shortlisting, storage, or sign-up
functionality.
13.3 Off-Platform Engagement:

13.3.1 Any communication, negotiation, agreement, or transaction between Users occurring
outside the Platform, including through external messaging, calls or meetings, shall be
solely at the Users’ own risk.
13.3.2 The Company shall not be responsible for disputes, payments, misconduct or breaches
arising from off-platform engagements.
Availability and Platform Access
14.1 The Company shall use commercially reasonable efforts to ensure that core functionalities of
the Platform, including subscription-based access and content repository features, remain
available. However, uninterrupted or error-free access is not guaranteed.
14.2 The Company shall not be liable for missed casting opportunities, failed hiring outcomes, loss
of event ticket sales, business loss, or data loss resulting from temporary unavailability or
downtime of the Platform.Disclaimer of Warranties
15.1 The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted
by law, the Company disclaims all express or implied warranties, including warranties of
merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted
availability, or guaranteed outcomes from networking, hiring, or business opportunities on the
Platform.
15.2 The Company makes no representations, warranties or guarantees express or implied, regarding
(a) the accuracy, reliability or completeness of the content on the Platform, including any
information provided, or (b) of the services expressly disclaims any warranties of non-
infringement or fitness for a particular purpose.
15.3 The Company engages and employs the best methods to safeguard and protect against viruses,
infection, et cetera, however, despite such best efforts, the Company makes no representation,
warranty or guarantee that the content that may be available through the Service is free of
infection from any viruses, bugs or other code or computer programming routines that contain
contaminating or destructive properties or that are intended to damage, surreptitiously intercept
or expropriate any system, data or personal information.
15.4 The Company acts solely as an independent intermediary between various types of Users. The
Company does not guarantee the descriptions, conditions, suitability, pricing, or fulfilment of
any services provided by other Users. The Users are entering into a direct contractual
relationship with the other Users for each engagement entered into via the Platform.
15.5 Without limiting the foregoing, the Company does not warrant that any audition, listing,
candidate search, project creation tool, opportunity display, workshop, event listing,
collaboration request, or portfolio-hosting feature will result in any engagement, booking,
discovery, employment, revenue, visibility, or commercial outcome.

15.6 You are encouraged to carefully review the listings, services and/or experiences own terms and
policies as provided by third parties before completing any booking.
16. Termination
16.1 The Terms shall remain in full force and effect unless and until the User’s account is terminated
in accordance with the Terms or other Company policies.
16.2 You may deactivate the account and end the registration with the Company at any time, for any
reason, by using the in-app “Delete Account” feature. Such termination shall not absolve you of
any liability towards the Company arising from the Services or your use of the Platform.
16.3 The Company may also suspend or terminate your use of the Platform at any time, for any
breach of these Terms.
16.4 Subject to Applicable Law, the Company reserves the right to maintain, delete or destroy all
communications uploaded on to this Platform pursuant to its internal record retention and/or
content destruction policies. After such termination, the Company will have no further
obligation to provide the services to you.
16.5 The Company further reserves the right to terminate these Terms or discontinue the services
provided through this Platform or any portion or feature thereof for any or no reason and at any
time without any liability towards you or any other third-party.
16.6 Post the deletion of your account (regardless of the reason), you shall no longer have access to
your account on the Platform. Any deletion once processed is irrecoverable. Platform is not
responsible for the loss of your information and Platform shall not be liable to any party in any
way for the inability to access your information arising from any deletion.
16.7 The Company will not be liable to you for any costs, expenses, or damages as a result of the
termination of these Terms.
17. Indemnity
17.1 The User agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers,
employees, and representatives from and against claims, losses, liabilities, damages, costs, and
expenses arising out of or relating to the User’s content, conduct, legal breaches, infringement,
misrepresentations, listings, engagements, or violation of these Terms or Applicable Law.
18. Limitation of Liability
18.1 To the fullest extent permitted by Applicable Law, neither the Company nor any of its
affiliates/representatives shall be liable for:
a. any indirect, incidental, special, consequential or punitive damage resulting from the use
or the inability to use the Platform and/or damages for lost profits, loss of data, goodwill
or other intangible losses by the User;

b. any harm, injury, loss, or death arising out of or during participation in any experience,
activity, or service offered on the Platform. All such liability shall rest solely with the
respective providing the service. Users voluntarily participate in such services at their
own risk and are advised to exercise due caution and judgment;
c. User interaction and associated issues the User has with any Third-Party Websites
accessed through the Platform;
d. any unauthorized access to or alteration of the User’s transmissions or data;
e. third party services;
f. User misconduct, third-party defaults, content misuse by third parties, failed
collaborations, event-related defaults, or independent arrangements between Users; or
g. any other matter relating to the Platform or the Service.
18.2 Users acknowledge that participation in auditions, shoots, events or workshops may involve
inherent physical, environmental or professional risks. The Company does not supervise,
control, or ensure the safety of any such activity and shall not be liable for any injury, loss,
damage or harm arising therefrom. Users are responsible for taking appropriate safety
precautions and verifying the legitimacy and safety of engagements.
19. Dispute Resolution
19.1 The Terms shall contain an internal grievance or escalation process and a requirement to
attempt amicable resolution where appropriate before formal proceedings are initiated.
19.2 Any dispute, claim, or controversy arising out of or in connection with these Terms shall first
be notified to the Company through the internal grievance mechanism. The parties shall use
reasonable efforts to resolve the matter amicably within 30 (thirty) days of such notice. If
unresolved, the dispute may be referred to arbitration in accordance with the Arbitration and
Conciliation Act, 1996. The seat and venue of arbitration shall be Hyderabad, Telangana. The
tribunal shall consist of a sole arbitrator appointed by the Company and the User jointly, and
the proceedings shall be conducted in English.
19.3 Courts at Hyderabad, Telangana shall have exclusive jurisdiction for interim and enforcement-
related matters.
20. Governing Law
20.1 These Terms shall be governed by and construed in accordance with the laws of India.
21. Grievance Redressal
21.1 Users may contact the Company for queries, complaints, or rights requests through the
grievance/contact mechanism made available on the Platform, in relation to these Terms.
21.2 All grievances by you should be addressed in writing to us at grievance officer, whose details
are provided below.

21.4 The Company shall endeavour to acknowledge or respond to complaints and queries within a
reasonable period, in accordance with Applicable Law and internal grievance procedures.
22. Amendments
22.1 You understand that the Company may amend the Terms from time to time as it may deem fit
and necessary. Such amendments may be carried out to reflect changes in Applicable Law,
business operations, services, or processing practices.
22.2 Any amendment to the Terms shall be effective upon Company’s posting of such updated
Terms on the Platform.
22.3 Where required or appropriate, the Company may also notify Users of material changes through
the Platform, by email, or through other service-related communications. Continued use of the
Platform after such updates shall be subject to the revised policy, to the extent permitted under
Applicable Law.
23. Miscellaneous
23.1 These Terms shall be interpreted, construed and enforced in accordance with the laws as
applicable in India without regard to conflict/choice of law principles. In a situation where any
provision of this Agreement is found to be invalid or unenforceable, such provision shall be
severed from the remaining Agreement, which shall remain in full force and effect.
23.2 No waiver of any breach or default of the Terms shall be deemed to be a waiver of any
preceding or subsequent breach or default.
23.3 In the event that any provision of these Terms is held to be invalid or unenforceable, then that
provision will be limited or eliminated to the minimum extent necessary, and the remaining
provisions of these Terms will remain in full force and effect.
23.4 All the rights and obligations of the Company under these Terms are freely assignable by the
Company in connection with a merger, acquisition, or sale of assets, or by operation of law or
otherwise.
23.5 The Company reserves the right to research and publish general User behavior categorized at its
discretion.
23.6 By using the Platform, you agree to receive account and feature e-mails, calls, messages and
flash messages from the Company.

23.7 The Platform uses temporary cookies to store certain data (that is not sensitive personal data or
information) that is used by the Company for the technical administration of the Platform,
research and development, and for User administration. In the course of serving advertisements
or optimizing the services to you, the Platform may allow authorized third parties to place or
recognize a unique cookie on your web browser. The Company does not store personally
identifiable information in the cookies.
